Introduction
These Reseller Terms and Conditions (“Agreement”) govern the purchase and resale of products from Wholesale Market by the Reseller. By purchasing products from our company for resale, you agree to comply with these terms.
Eligibility
The Reseller must fill out the form and submit any required documentation to purchase and resell the products, as requested by the Company. Personal reselling or individual sales (e.g., through online marketplaces or social media) may require approval from the Company.
Products and Pricing
Product Availability: The products listed by the Company are subject to availability. The Company reserves the right to discontinue any products or change prices without prior notice.
Pricing: Resellers will receive a commission price (set by the Company) for the products. The Company reserves the right to change the commission price. Any changes in pricing or promotions will be communicated to the Reseller.
Ordering and Payment
Order Process: Orders should be placed through the designated reseller portal or via email to the sales team.
Payment Terms: All payments for orders must be made in full before shipment unless other payment terms are explicitly agreed upon.
Late Payments: Any outstanding payments may result in delays or suspension of future orders until the balance is cleared.
Minimum Order Quantity (MOQ)
The Reseller must meet the minimum order requirements as specified by the Company. This may vary depending on the product category or promotion.
Shipping and Delivery
Shipping Costs: Resellers are responsible for shipping costs unless otherwise agreed.
Delivery Time: Estimated delivery times will be communicated upon order confirmation. The Company is not responsible for delays caused by third-party shipping carriers.
Risk of Loss: The risk of loss or damage to products transfers to the Reseller upon shipment.
Intellectual Property
Company Logo Usage: The Reseller is granted a non-exclusive, non-transferable right to use the Company trademarks and logo solely for the purpose of marketing and selling the products. Unauthorized use of intellectual property is prohibited.
Product Images and Descriptions: Resellers may use images and descriptions provided by the Company. Modifications or alterations to these materials are not permitted without written consent.
Resale Restrictions
Online Sales: Resellers are prohibited from selling products on unauthorized online platforms unless prior written approval is given by the Company.
Geographical Restrictions: The Reseller agrees not to sell the products outside the agreed-upon geographical regions unless authorized by the Company.
Returns and Exchanges
Defective or Damaged Products: If any products are defective or damaged during transit, the Reseller must notify the Company within 1 day of receipt. A replacement or refund will be issued upon return of the damaged goods.
Restocking Fee: Returns for non-defective products may incur a restocking fee of a certain percentage if the return is approved by the Company.
Termination
Termination by the Reseller: The Reseller may terminate this Agreement at any time with written notice to the Company. The notice must be given at least one month before the termination.
Termination by the Company: The Company reserves the right to terminate this Agreement immediately if the Reseller fails to comply with these terms, engages in fraudulent activities, or violates the Company’s reputation or intellectual property.
Liability and Indemnification
Limitation of Liability: The Company’s liability is limited to the purchase price of the products in question. The Company is not responsible for any indirect, incidental, or consequential damages.
Indemnification: The Reseller agrees to indemnify and hold harmless the Company against any legal claims, damages, losses, or expenses arising out of the Reseller’s breach of these terms.
Confidentiality
The Reseller agrees to maintain the confidentiality of any proprietary or confidential information received from the Company, including pricing, business strategies, and product information.
Amendments
The Company reserves the right to amend these Terms and Conditions at any time. Resellers will be notified of any significant changes, and continued business will be deemed acceptance of the updated terms.
